Terms and Conditions of Sale

Scope and Application

These Terms and Conditions of Sale ("Terms") govern all sales of goods by Oneday FMCG Trading Limited Company ("Oneday FMCG", "we", "us") to a purchasing business ("Buyer", "you"). They apply to every quotation issued, Proforma Invoice accepted and shipment delivered by us unless varied by a written contract signed by both parties. Any purchase order terms, general conditions or standard forms issued by the Buyer are excluded and have no effect unless we accept them in writing.

We sell on a business-to-business basis only. We do not sell to consumers and we do not accept retail or single-unit orders. By placing an order the Buyer confirms that it is acting in the course of a business and is purchasing for resale, distribution or commercial use.

Quotations and Offers

Quotations are invitations to treat and do not constitute a binding offer. Unless stated otherwise on the quotation itself, a quotation is valid for the period shown on it and is subject to stock availability, manufacturer supply and confirmation at the time of order. Prices quoted reflect the specification, packing, quantity, Incoterm and destination stated in the quotation; a change to any of these may change the price.

Product information published on this website — including images, pack sizes, unit counts, barcodes and specifications — is indicative and is drawn from manufacturer data. Binding specifications are those stated in the Proforma Invoice for the order in question.

Orders and Order Confirmation

An order becomes binding only when the Buyer accepts a Proforma Invoice ("PI") issued by Oneday FMCG and the agreed deposit or payment instrument is received. The PI is the contract document for the transaction and records the products, quantities, unit prices, packing, Incoterm, port of loading, port of destination, payment terms and estimated shipment period.

Once a PI has been accepted and payment applied, orders may not be cancelled or reduced without our written agreement. Where goods have already been purchased, consolidated, labelled or booked for shipment, cancellation costs actually incurred are payable by the Buyer.

Prices

Prices are quoted in United States Dollars unless another currency is agreed in writing, and are exclusive of destination duties, import taxes, port charges at destination and any local levies. Prices are quoted on the Incoterm stated in the PI. Where a quotation is issued more than the stated validity period before order confirmation, we may re-quote to reflect current manufacturer pricing, packaging changes or freight rates.

Payment

Payment terms are set out in full in our Payment Terms and are confirmed for each order on the PI. Goods are not released for loading, and shipping documents are not released, until payment has been received in accordance with the agreed terms. Time of payment is of the essence.

Delivery and Incoterms

All deliveries are made on an Incoterms 2020 basis as stated on the PI. Unless otherwise agreed, our standard basis is FOB Ho Chi Minh City, Vietnam. We also quote EXW, FCA, CFR and CIF where the Buyer requests it. Details of loading, booking and documentation are set out in our Shipping & Export Logistics Policy.

Shipment dates given at quotation or order stage are estimates based on manufacturer availability, consolidation time and vessel schedules. They are not guaranteed dates and we do not accept liability for losses arising from a shipment leaving later than estimated, save where a firm shipment window has been agreed in writing.

Passing of Title and Risk

Risk in the goods passes to the Buyer at the point determined by the agreed Incoterm. Title to the goods does not pass to the Buyer until Oneday FMCG has received payment in full and cleared funds for the order concerned, notwithstanding that risk may already have passed.

Product Specification and Packaging

Goods are supplied in the manufacturer's original sealed retail packaging, packed in export cartons and, where applicable, palletised or floor-loaded for container shipment. Manufacturers may change formulation, artwork, pack weight or carton configuration without notice to us. Such changes do not entitle the Buyer to reject the goods provided the goods remain of the described type and specification. Where a Buyer requires a fixed artwork, formulation or country-specific pack, this must be stated in writing before order confirmation and recorded on the PI.

Inspection and Claims

The Buyer must inspect goods on arrival and raise any claim in accordance with our Claims, Returns & Damaged Goods Policy. Failure to inspect and notify within the period stated in that policy is treated as acceptance of the goods.

Export, Import and Regulatory Responsibility

Oneday FMCG is responsible for export formalities in Vietnam applicable under the agreed Incoterm and for providing the export document set described in our Export Compliance & Documentation Policy. The Buyer is responsible for import clearance, import duties and taxes, product registration, destination labelling requirements, language requirements, nutrition and allergen declaration formats, and any licence or permit required in the destination market. The Buyer must satisfy itself that the goods ordered may lawfully be imported and sold in the destination market before placing the order.

Resale and Territory

The Buyer purchases for resale in the market identified at order stage. The Buyer must not alter, obscure, remove or replace batch codes, date codes, barcodes or brand markings, and must not repack goods in a way that misrepresents their origin or their manufacturer. Trademarks appearing on the goods remain the property of their owners, as set out in our Intellectual Property & Trademark Notice.

Force Majeure

Neither party is liable for failure or delay in performing its obligations where that failure or delay results from an event beyond its reasonable control, including natural disaster, epidemic, war, civil unrest, government action, export or import restriction, port closure, strike, carrier failure, container or vessel shortage, or failure of a manufacturer to supply. The affected party must notify the other promptly. Where the event continues for more than sixty days, either party may terminate the affected order, and payments received for goods not shipped will be refunded net of costs already and irrecoverably incurred.

Limitation of Liability

Our total liability in connection with any order is limited to the invoice value of the goods giving rise to the claim. We are not liable for loss of profit, loss of contract, loss of anticipated savings, loss of market opportunity, reputational loss, demurrage, detention, storage or any indirect or consequential loss, however arising. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

Confidentiality

Pricing, supplier information, cost structures and commercial terms exchanged between the parties are confidential and must not be disclosed to third parties except to the extent required by law or by a party's professional advisers, bankers or freight service providers for the purpose of performing the contract.

Governing Law and Dispute Resolution

These Terms and any contract formed under them are governed by the laws of the Socialist Republic of Vietnam. The parties will attempt in good faith to resolve any dispute by negotiation. Failing resolution within thirty days, the dispute shall be finally settled by arbitration at the Vietnam International Arbitration Centre (VIAC) in Ho Chi Minh City in accordance with its Rules of Arbitration. The language of the arbitration is English and the tribunal shall consist of one arbitrator unless the parties agree otherwise.

Severability and Amendment

If any provision of these Terms is held unenforceable, the remaining provisions continue in force. We may amend these Terms from time to time; the version published on this website at the date a PI is issued applies to that order.
